These Terms of Sale apply to wholesale purchases from Pike Food Branding LLC, doing business as Pike Global Foods ("Pike Global Foods," "we," or "us"). Placing an order by any manner or method constitutes acceptance of these terms.

All delivery and transit times are estimates only. Pike Global Foods is not responsible for losses resulting from late delivery.
Express parcel options are available at checkout. For late delivery of express shipments, Pike Global Foods' liability is limited to the difference between the express and ground shipping charges. Pike Global Foods does not accept responsibility for late delivery to Alaska or Hawaii. Free shipping is not available.
Customers are responsible for selecting the correct freight service at checkout, including commercial vs. residential delivery and liftgate requirements. Incorrect selections may delay shipment and result in additional charges from Pike Global Foods and/or the freight carrier. If your liftgate preference needs to be updated, please contact us and we'll take care of it. Orders requiring appointment delivery must be placed by phone or email. Pike Global Foods' liability ends upon delivery to a freight forwarder.
Most parcel orders placed online and received by 2:00 PM Eastern Time ship the same day. Most freight orders received by 2:00 PM Eastern Time ship the following business day. Orders requiring manual entry by Pike Global Foods staff may be delayed by one additional business day. Processing times exclude weekends and the following holidays: Memorial Day, Independence Day, Labor Day, Thanksgiving, Christmas Eve, Christmas Day, New Year's Eve, and New Year's Day. In the event of severe weather or other circumstances beyond our control, orders will ship as soon as operationally possible.
Chocolate is temperature sensitive. Cold pack protection, consisting of insulated cartons with gel packs, is offered on parcel orders containing chocolate. Charges for cold pack protection, if elected, appear in the cart. Parcel orders with cold pack protection must use a shipping method of two business days or less and ship Monday through Wednesday only.
Customers who decline cold pack protection accept the risk of heat damage. Heat damage to chocolate shipped without cold pack protection is not an error or damage attributable to Pike Global Foods under Section 9, and is not eligible for return, credit, or refund.
For chocolate orders shipping by freight, please contact us before ordering. Pallet-sized coolers are available to protect chocolate through two-day freight delivery.
Payment is due at the time of order via check, credit card, or ACH Direct Debit. This applies to both standard and special orders unless a previously approved payment arrangement is already in place.
Prices are subject to change without notice. The price in effect at the time of order confirmation governs the transaction. Pike Global Foods makes reasonable efforts to maintain accurate pricing on its website but is not responsible for typographical errors or pricing discrepancies. In the event of a pricing error, Pike Global Foods reserves the right to cancel or adjust the affected order and will notify the customer promptly.
To cancel an order or change its shipping address, please contact us as soon as possible, and we will make every effort to honor your request. Most orders ship the same day they are placed. Once an order has shipped, it cannot be canceled. If an address must be changed after shipment, any carrier rerouting fees are at the customer's expense, and a reroute may delay delivery. Special orders are covered by Section 13.
Errors, damages, and product problems must be reported within 48 hours of receipt of goods. Pike Global Foods will accept responsibility for problems with the product, the shipment, or the order that are caused by us, our vendors, or our arranged transportation. Freight damages must be noted on the delivery receipt at the time of delivery.
If we ask you to return product under this section, the return is at our expense. Returned product must be received at our warehouse within fourteen (14) days of the customer's receipt of goods.
Delivery is guaranteed only to the address provided with the order. Shipments that cannot be delivered will be returned to us, and reshipping to a corrected address is at the customer's expense. Shipping charges for failed deliveries are non-refundable.
If a delivery is refused, the shipment will be returned to us. Once it arrives, we will credit the products, less the original shipping charge and the cost of return shipping. Refused chocolate that returns to us with heat damage may not be eligible for credit.
If tracking shows a shipment as delivered and it cannot be found, please contact us. We will open a trace with the carrier on your behalf. Once the carrier confirms delivery to the address provided, we cannot guarantee a credit or replacement.
This section applies whenever the customer arranges its own parcel shipping, freight, or pickup. In those cases, Pike Global Foods' liability ends, and risk of loss passes to the customer, once the product leaves our warehouse. When transportation is arranged by the customer, Pike Global Foods has limited ability to assist in resolving damages, delays, or other service failures. Pike Global Foods is not responsible for losses arising from late delivery, damaged or lost product, or any other issue related to customer-arranged transportation.
Returns requested by the customer for reasons not attributable to Pike Global Foods, including but not limited to incorrect quantity ordered, incorrect item(s) ordered, or product(s) no longer required, are subject to the terms set forth in this section.
Authorization must be obtained from Pike Global Foods prior to any return. Returns received without prior authorization may be refused or held without credit. Notice of intent to return must be provided within 48 hours of receipt of goods, and authorized returns must be received at our warehouse within fourteen (14) days of the customer's receipt of goods. Returned product must be unopened, in its original packaging, and in resalable condition. Product that is not received in resalable condition will not be credited.
The customer is responsible for the condition of the product until it is received at our warehouse and for all return shipping charges. Credit is issued to the customer's account following receipt and inspection of the returned product.
Special orders include orders for non-stock items and orders for stock items that exceed ordinary inventory levels. Payment for special orders is due at the time the order is placed. Special orders are non-cancellable and non-refundable, unless the product becomes unavailable, in which case the special order will be refunded.
All products ship within the manufacturer's best-by date. Items in our Overstock category may be short-dated or pending discontinuation, and are priced accordingly. The best-by date is listed on the product page, and the customer is asked to acknowledge it before purchase. Overstock items are non-returnable, but errors and damages remain covered under Section 9.
Our products are ingredients intended for food production. Please review each product's label, ingredient statement, specification sheet, and allergen information before use. Many of our products contain, or are processed in facilities that handle, common allergens such as milk, soy, tree nuts, peanuts, wheat, and eggs. The customer is responsible for proper storage and handling after delivery, for determining whether a product suits its intended use, and for the labeling and regulatory compliance of its own finished goods.
We work to keep product descriptions, images, and specifications accurate, but manufacturers may change formulations or packaging without notice. The label on the product received is the final authority.
Pike Global Foods is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including but not limited to natural disasters, severe weather, supply chain disruptions, ingredient or packaging shortages, carrier failures, labor disputes, government actions, or other events outside our control.
Except as stated in these Terms of Sale, products are sold "as is," and Pike Global Foods disclaims all other warranties, express or implied, including any implied warranties of merchantability and fitness for a particular purpose, to the fullest extent the law allows. Any manufacturer's warranty passes through to the customer where permitted.
Customer's recovery is limited to the cost of purchased products and associated transportation charges. Pike Global Foods is not liable for lost profits or revenue, manufacturing costs, overhead, or any other consequential, incidental, or indirect damages.
These Terms of Sale are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict of law rules. Any dispute, suit, action, or proceeding arising out of or relating to these Terms of Sale shall be brought exclusively in the state or federal courts serving Pike County, Pennsylvania.

If any provision of these Terms of Sale is found to be invalid, illegal, or unenforceable in any jurisdiction, that finding shall not affect the validity or enforceability of any other provision, nor the enforceability of that provision in any other jurisdiction.
Pike Global Foods reserves the right to update or modify these Terms of Sale at any time. The current version will be posted on our website and identified by its effective date. Continued use of our ordering system or placement of an order following any update constitutes acceptance of the revised terms.
